Terms of Service

1. Overview and Acceptance

1.1 Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and ZT Nation, LLC, a Wyoming series limited liability company ("ZT Nation," "we," "us," or "our"). These Terms govern your access to and use of the ZT Nation website, mobile application, and all related services (collectively, the "Platform").

1.2 Acceptance

By creating an account, accessing, or using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you are not prohibited from using the Platform under any applicable law; and (d) you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.3 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or by prominent notice on the Platform at least thirty (30) days before the effective date. Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform before the effective date.

2. Platform Description — What ZT Nation Does and Does Not Do

2.1 Technology Platform

ZT Nation operates a technology platform that connects customers seeking home services with independent, licensed, and insured service providers ("Service Providers" or "Contractors"). ZT Nation is a technology company that operates a referral and matching platform. ZT Nation does not provide, perform, or supervise home improvement, construction, maintenance, or any other services.

2.2 What ZT Nation Does

ZT Nation provides the following technology services:

• AI-Powered Matching: Uses artificial intelligence to match customers with qualified, licensed Service Providers based on service type, location, availability, and qualifications.
• Estimated Price Ranges: Generates AI-powered estimated price ranges for informational purposes only (see Section 3).
• Compliance Verification: Verifies that Service Providers maintain valid licenses, insurance, and other credentials required by their jurisdiction.
• Communication Facilitation: Provides tools for customers and Service Providers to communicate about potential projects.
• Referral Fee Collection: Collects a referral fee from Service Providers for successful customer matches (see Section 6).

2.3 What ZT Nation Does NOT Do

ZT Nation does not:

• Provide, perform, supervise, direct, or control any home services or construction work.
• Employ, manage, or supervise Service Providers.
• Set prices, schedules, methods, tools, or materials for any service.
• Guarantee the quality, safety, timeliness, or completion of any work.
• Act as a general contractor, subcontractor, employer, or agent of any Service Provider.
• Provide warranties or guarantees on any work performed by Service Providers.
• Hold, manage, or process customer payments for services (customers pay Service Providers directly).
• Provide insurance, workers' compensation, or employee benefits to Service Providers.

2.4 No Agency Relationship

No provision of these Terms, and no action taken by any party under these Terms, shall constitute or be construed as creating an agency, partnership, joint venture, employer-employee, or or similar relationship between ZT Nation and any User, Service Provider, or third party. Service Providers are matched through the Platform, not assigned, dispatched, or deployed by ZT Nation.

3. AI-Generated Estimated Price Ranges

3.1 Nature of Estimates

The Platform uses artificial intelligence, property data, historical job data, and market conditions to generate estimated price ranges for home services. These estimates are provided for informational and convenience purposes only and do not constitute a binding offer, contract, or guarantee of price.

3.2 Limitations

AI-generated estimates may be inaccurate, incomplete, or outdated. Actual prices may differ significantly based on site conditions, scope of work, materials, labor market conditions, and other factors. You should not rely solely on Platform estimates when making purchasing decisions.

3.3 Final Price

The final price for any service is determined solely by the Service Provider and the customer through direct negotiation. The Service Provider may adjust the price after inspecting the job site, assessing actual conditions, or identifying additional work requirements. ZT Nation has no role in setting, negotiating, or approving the final price.

3.4 AI Disclosure

All AI-generated content on the Platform, including estimates, recommendations, and communications, is clearly identified as AI-generated. ZT Nation's AI systems are designed to assist, not replace, human judgment. You are encouraged to exercise independent judgment in all decisions.

4. Service Provider Relationship

4.1 Independent Contractor Status

Service Providers are independent contractors, not employees, agents, partners, joint venturers, or subcontractors of ZT Nation. Nothing in these Terms or on the Platform creates an employer-employee relationship, partnership, joint venture, or agency relationship between ZT Nation and any Service Provider.

4.2 No Control Over Work

ZT Nation does not:

• Control the manner, method, or means by which Service Providers perform their work.
• Set work schedules, require specific tools or equipment, or dictate how work is performed.
• Provide training on how to perform construction or home improvement work.
• Require exclusivity — Service Providers are free to work with other platforms, companies, or customers.
• Penalize Service Providers for declining jobs, setting their own prices, or choosing their own methods.
• Provide employee benefits, workers' compensation, or unemployment insurance to Service Providers.

4.3 Service Provider Responsibilities

Service Providers are solely responsible for:

• Maintaining all required licenses, permits, certifications, and surety bonds for their trade and jurisdiction.
• Carrying adequate insurance (general liability, workers' compensation where required).
• Complying with all applicable federal, state, and local laws and regulations.
• The quality, safety, and timeliness of their work.
• All tax obligations, including self-employment taxes.
• Any warranties or guarantees they choose to offer on their own work.
• Setting their own prices, schedules, and methods of work.
• Providing their own tools, equipment, and materials.

5. Customer Relationship

5.1 Direct Relationship with Service Provider

When you use the Platform to find a Service Provider:

• You are entering into a direct contractual relationship with the Service Provider, not with ZT Nation.
• You are responsible for reviewing and accepting the Service Provider's final quote before authorizing any work.
• You pay the Service Provider directly for all services rendered. ZT Nation does not process, hold, or manage customer payments for services.
• Any disputes about the quality, scope, or completion of work are between you and the Service Provider.

5.2 Customer Responsibilities

You are responsible for:

• Providing accurate and complete information about your project, property, and requirements.
• Independently verifying any Service Provider's credentials, references, and qualifications before authorizing work.
• Obtaining necessary permits for work performed on your property, unless the Service Provider has agreed to do so.
• Ensuring safe access to your property for the Service Provider.
• Paying the Service Provider directly and promptly for completed work.

5.3 Mediation

ZT Nation may offer to mediate disputes between customers and Service Providers as a courtesy but is not obligated to do so and assumes no liability for the outcome of any mediation.

6. Referral Fees and Payment

6.1 Referral Fee Structure

ZT Nation charges Service Providers a referral fee for each successful customer match facilitated through the Platform:

• New Contractor (0%): Every new Service Provider's first completed job is referral fee-free (0%).
• Loyalty Tiers: After the first job, referral fees are based on the Service Provider's performance-based loyalty tier: Trusted (15%), Elite (13%), Platinum (11.5%), Emerald (10%), Diamond (8.75%). Tiers are earned through completed jobs and quality metrics — they cannot be purchased.
• Contractor Referral Discount: Service Providers who refer other contractors earn a 50% discount on their referral fee for their next completed job when the referred contractor completes their first job on the Platform. Each referred contractor who completes a job equals one 50% discount. Unlimited referrals allowed.
• Customer Referral Program: Customers who refer other customers earn a $75 ZT Nation Promotional Credit when the referred customer completes their first job on the Platform. Credits have no cash value, are non-transferable, never expire, and are for promotional purposes only. When a customer uses Promotional Credit, ZT Nation absorbs the cost. Unlimited referrals allowed.

6.2 Fee Calculation

The referral fee is calculated on the total job value, which includes both labor and materials. The fee is a separate transaction between ZT Nation and the Service Provider and does not affect the price the customer pays for services.

6.3 Payment Method

Service Providers authorize ZT Nation to charge their saved payment method (ACH, credit card, or debit card) for referral fees upon job completion. Service Providers agree to maintain a valid payment method on file.

6.4 Promotional Credits

ZT Nation may offer promotional credits to customers through its referral program. Credits are applied at the customer's discretion and reduce the amount the customer pays the Service Provider directly. When credits are applied, ZT Nation compensates the Service Provider for the credited amount.

6A. Refund and Cancellation Policy

6A.1 Service Disputes and Refunds

Because ZT Nation is a technology platform that connects customers with independent Service Providers, all payments for services are made directly between the customer and the Service Provider. ZT Nation does not process, hold, or manage customer payments for services. Therefore:

• Refunds for services rendered are between the customer and the Service Provider.
• ZT Nation will facilitate communication between parties to help resolve disputes but does not guarantee any refund outcome.
• Customers should discuss refund terms directly with their Service Provider before work begins.

6A.2 Referral Fee Disputes

If a Service Provider believes a referral fee was charged in error (e.g., for a job that was not completed), they may contact ZT Nation within fourteen (14) days of the charge to request a review. ZT Nation will investigate and, if the charge was made in error, issue a credit or refund at its discretion.

6A.3 Promotional Credit Refunds

Promotional credits have no cash value and are non-refundable. Unused credits expire according to the terms of the specific promotion.

7. Compliance Verification

7.1 Verification Process

ZT Nation verifies that Service Providers maintain valid licenses, insurance, and other credentials required by their jurisdiction before they are eligible to receive customer matches. However, ZT Nation does not guarantee the accuracy, completeness, or currency of any Service Provider's credentials. Verification is a point-in-time check and credentials may expire, be revoked, or become invalid after verification.

7.2 Customer Due Diligence

Customers are encouraged to independently verify Service Provider credentials, check references, and conduct their own due diligence before authorizing work. ZT Nation's verification is supplementary and does not replace the customer's responsibility to evaluate Service Providers.

8. AI and Automated Communications

8.1 AI-Powered Features

The Platform uses artificial intelligence for various functions, including but not limited to: generating price estimates, matching customers with Service Providers, facilitating communications, and providing customer support. All AI-generated content is identified as such.

8.2 Consent to Communications

By using the Platform, you consent to receive communications from ZT Nation, including:

• SMS/Text Messages: Service updates, appointment reminders, and marketing messages. Standard message and data rates may apply. Reply STOP to opt out at any time.
• Email Communications: Account updates, service notifications, and marketing communications. You may unsubscribe at any time using the link in any email.
• Phone Calls: Service-related calls, including AI-assisted calls. You may opt out of non-essential calls at any time.
• Push Notifications: If you have enabled push notifications on your device.

8.3 AI Interaction Disclosure

When you interact with ZT Nation's AI systems (chatbots, virtual assistants, automated communications), you are interacting with artificial intelligence, not a human. AI responses may contain errors or inaccuracies. For critical decisions, we recommend consulting with a qualified professional.

8.4 Recording and Monitoring

Calls and communications may be recorded and monitored for quality assurance, training, and compliance purposes. By using the Platform, you consent to such recording and monitoring.

9. Intellectual Property

9.1 ZT Nation Property

The Platform, including all content, features, functionality, software, code, designs, text, graphics, logos, and trademarks, is owned by ZT Nation or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License

Subject to your compliance with these Terms, ZT Nation grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use (or, for Service Providers, for the purpose of receiving customer referrals).

9.3 User Content

By submitting content to the Platform (reviews, photos, descriptions, etc.), you grant ZT Nation a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with the Platform and ZT Nation's business operations.

9.4 Restrictions

You may not: (a) copy, modify, or distribute the Platform or its content; (b) reverse engineer, decompile, or disassemble any part of the Platform; (c) use the Platform for any unlawful purpose; (d) use automated systems (bots, scrapers) to access the Platform without prior written consent; or (e) use ZT Nation's trademarks without prior written permission.

10. User Accounts and Conduct

10.1 Account Registration

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

10.2 Prohibited Conduct

You agree not to:

• Provide false, misleading, or inaccurate information.
• Impersonate any person or entity.
• Use the Platform for any illegal or unauthorized purpose.
• Interfere with or disrupt the Platform or its servers.
• Harass, threaten, or abuse other Users.
• Attempt to circumvent the Platform to avoid referral fees.
• Post or transmit any content that is defamatory, obscene, or otherwise objectionable.
• Use the Platform to solicit Service Providers or customers outside the Platform for the purpose of avoiding referral fees.

10.3 Account Suspension and Termination

ZT Nation reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, non-payment of fees, or conduct that harms other Users or ZT Nation's reputation.

11. Reviews and Ratings

11.1 Review Policy

ZT Nation may solicit reviews from customers after service completion. Reviews are solicited uniformly from all customers — ZT Nation does not selectively solicit reviews based on expected sentiment. Reviews must be honest, accurate, and based on genuine experience.

11.2 Review Integrity

ZT Nation does not alter, censor, or suppress reviews based on their sentiment. Reviews may be removed only if they violate these Terms (e.g., contain defamatory content, personal attacks, or are fraudulent). ZT Nation complies with the FTC's rules on consumer reviews and testimonials.

12. Disclaimer of Warranties

12.1 "AS IS" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZT NATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Warranty on Services

ZT NATION DOES NOT WARRANT OR GUARANTEE: (A) THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF ANY SERVICES PERFORMED BY SERVICE PROVIDERS; (B) THE ACCURACY OR COMPLETENESS OF ANY INFORMATION ON THE PLATFORM, INCLUDING AI-GENERATED ESTIMATES; (C) THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (D) THAT ANY DEFECTS WILL BE CORRECTED; OR (E) THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12.3 Third-Party Services

ZT Nation is not responsible for any third-party services, products, or content accessed through the Platform, including payment processing services, communication services, or mapping services.

13. Limitation of Liability

13.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZT NATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM.

This includes damages arising from: (i) any services performed by Service Providers; (ii) any conduct of any User or third party on the Platform; (iii) any content obtained from the Platform; (iv) unauthorized access, use, or alteration of your transmissions or content; (v) property damage, personal injury, or death resulting from services arranged through the Platform.

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZT NATION'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO ZT NATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13.3 Exceptions

The limitations in this section do not apply to: (a) ZT Nation's liability for fraud or intentional misconduct; (b) any liability that cannot be excluded or limited under applicable law; or (c) ZT Nation's indemnification obligations, if any.

13.4 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ZT NATION AND YOU. THE PLATFORM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact ZT Nation at [email protected] to attempt to resolve the dispute informally. ZT Nation will attempt to resolve the dispute within thirty (30) days of receiving your notice.

14.2 Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator.

14.3 Arbitration Location

The arbitration shall be conducted in Wyoming, unless you and ZT Nation agree to a different location. For claims of $10,000 or less, the arbitration may be conducted entirely by telephone or videoconference, at your election.

14.4 Arbitration Costs

ZT Nation will pay all AAA filing fees and arbitrator fees for claims of $10,000 or less. For claims exceeding $10,000, the AAA's fee schedule shall apply, and costs shall be allocated as determined by the arbitrator. Each party shall bear its own attorneys' fees, unless the arbitrator awards fees to the prevailing party as permitted by applicable law.

14.5 Class Action Waiver

YOU AND ZT NATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

14.6 Exceptions to Arbitration

Notwithstanding the foregoing, either party may: (a) bring an individual action in small claims court for claims within the court's jurisdiction; (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights; or (c) bring claims that are not subject to arbitration under applicable law.

14.7 Opt-Out Right

You may opt out of this arbitration provision by sending written notice to ZT Nation at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law and Jurisdiction provisions in Section 15 shall apply.

14.8 Severability of Arbitration Provision

If any part of this arbitration provision is found to be unenforceable, the remaining parts shall continue to apply. If the class action waiver in Section 14.5 is found to be unenforceable with respect to a particular claim or request for relief, then that claim or request for relief shall be severed and may proceed in court, while the remaining claims shall be arbitrated.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

15.2 Jurisdiction

For any claims not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Wyoming.

16. Data Collection and Use

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

17. Indemnification

17.1 Customer Indemnification

You agree to indemnify, defend, and hold harmless ZT Nation, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you submit to the Platform; or (e) your interaction with any Service Provider.

17.2 Service Provider Indemnification

Service Providers additionally agree to indemnify ZT Nation from and against any claims arising from: (a) the services they perform; (b) any injury, death, or property damage resulting from their work; (c) their failure to maintain required licenses, insurance, or permits; (d) their violation of any applicable law; or (e) any claim by any person that they are an employee of ZT Nation.

18. Termination

18.1 Your Right to Terminate

You may terminate your account at any time by contacting ZT Nation or using the account deletion feature on the Platform.

18.2 ZT Nation's Right to Terminate

ZT Nation may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform immediately ceases.

18.3 Survival

Sections 9, 12, 13, 14, 15, 17, and 20 shall survive any termination or expiration of these Terms.

19. Force Majeure

ZT Nation shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet outages, or third-party service failures.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ZT Nation regarding the Platform.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20.3 Waiver

The failure of ZT Nation to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without ZT Nation's prior written consent. ZT Nation may assign these Terms without restriction.

20.5 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

20.6 Electronic Communications

By using the Platform, you consent to receiving electronic communications from ZT Nation. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
